1. Purchase
   To purchase downloads from Disaudio you must either be a credit or debit card holder or, alternatively, you can purchase downloads via our “SMS Buy” service.
2. Age Requirement
   You must be at least 18 years of age to agree to and to enter into this Agreement on your own behalf and to register for use of the Service. If you are under 18 but at least 13 years of age, you must present this Agreement to your parent or legal guardian, and he or she must tick the box when registering for an Account to enter into this Agreement on your behalf. Children under the age of 13 may not register for this Service, and parents or legal guardians may not register on their behalf. By ticking the box indicating your acceptance to this Agreement, you represent that you have read, understood and agreed to be bound by this Agreement and you are at least 18 years old either entering into this Agreement for yourself or entering on behalf of your child or a child in your legal care. If you are a parent or guardian entering into this Agreement for the benefit of your child, please be aware that you are fully responsible for his or her use of the Service, including all financial charges and legal liabilities that he or she may incur. If you do not agree to or cannot comply with any of these terms or conditions, do not tick the acceptance box and do not attempt to access the Service.
3. The Service
   Through the use of the Disaudio Website, you will be permitted to listen to Samples (see definition below), and to obtain Digital Downloads of sound records (“Tracks”). Your Disaudio downloads are only for your personal, non-commercial use. You are solely responsible for any hardware, systems and/or software program(s) you use and any associated fees and expenses required to connect to, browse or otherwise use the internet and/or to access the sites on which the Service is offered and/or to browse, playback, download, stream, burn or transfer the downloads accessible through the site. The Service is not part of any other offering or product, and as such, the purchase or obtaining of any other product shall not be construed to represent or guarantee you access to this Service.
4. Registration
   To use this Service, you will be required to register and provide information about yourself such as a user name, password, a valid email address and billing information. Disaudio will use this information for the purpose of creating an Account. You agree to provide current, complete and accurate Registration Data as is necessary in order to ensure that your Account remains current, complete and accurate. Should it transpire that any of your Registration Data is inaccurate, false or incomplete, Disaudio is entitled to terminate your account immediately. You also agree that Disaudio is permitted to store and use your Registration Data which you provide for use in billing fees to your credit/debit card and maintaining your accounts.
5. Security
   Disaudio is not responsible for maintaining the confidentiality and security of your Account. This is your sole responsibility. You agree that you will immediately notify Disaudio of any unauthorised use of your password and your Account. Disaudio shall not be responsible for any losses arising out of any unauthorised use of your Registration Data or your Account and you agree to hold harmless and to fully indemnify Disaudio for any improper, unauthorised or illegal uses of the same. Your Account will be terminated immediately should you attempt to gain unauthorised access to the Site or assist others in doing so or distribute instructions, software or tools for that purpose.
6. Electronic Communication
   By opening a Disaudio Account you are hereby granting permission to Disaudio to contact you at your email address.
7. Offensive Material
   When using the Disaudio service you understand that you might encounter content that may be deemed objectionable, offensive, indecent and which may or may not be identified as using explicit language. You are agreeing to use the Service at your own risk and Disaudio shall have no liability to you for content that may be found indecent, offensive or objectionable.
8. Content/Intellectual Property
   All music whether in downloaded or sample form and all software, artwork, graphics, video, text, logos, images, interfaces, photographs and any other element which forms part of the Disaudio Website (“the Content”) is either the property of, or is licensed to Disaudio and is protected by trademark, copyright and other intellectual property rights law. Unless you are provided the prior written consent of Disaudio and except as provided in this Agreement, no Content may be transmitted/translated, uploaded, recorded, published, rented, sold, re-transmitted, displayed, distributed, re-produced, digitized, marketed, altered, performed or compiled in any way to any other computer, website or other medium for any commercial purpose.
9. Download
   A “Download” is a Track which has been purchased or other Purchased Digital Material that you can transfer to a portable device or save to your hard drive with unlimited playback time or burn to a CD/DVD. Under no circumstances will Disaudio have any liability for lost, destroyed or damaged Downloads. Any security technology that is provided with a Download is an inseparable part of the Download. By granting Download capability, this does not operate to limit any rights of the copyright owners in the Tracks or Material or any works embodied in them. Downloads are permitted only for non-commercial personal use. Any use which is not non-commercial and personal will breach UK and International Copyright and Intellectual Property laws and legal action shall be taken against you.
10. Non-Permitted Use of Downloads
    Any attempt to decompile, dissemble, modify, disable or limit any systems associated with the Download is strictly prohibited. You may not re-digitise any Downloads. The creation of derivative works is also strictly prohibited by alteration of any of the Content. The use of the Downloads in conjunction with any other third party content is strictly prohibited also. Also, you may not upload Downloads to the internet and file sharing is strictly prohibited.
11. Availability of Tracks
    Disaudio fully reserves the right to alter the Tracks which it has available from time to time. Should certain Tracks cease being available, you agree that there is no liability to Disaudio.
12. Agreement to Pay
    You hereby agree to pay for all Tracks that you purchase through the Service. You shall be responsible for updating any amendments to your billing information. Any charges incurred on your Account are your sole responsibility and you are solely responsible for keeping your Account secure and confidential.
13. Right of Refusal
    Disaudio reserves the right to refuse the Service for any reason whatsoever to any End User.
14. Price Change/Product Availability
    Prices and the availability of Tracks and Materials offered via this Service are at all times subject to change. Disaudio does not provide any price protection or refunds in the event of a price drop or promotional offering.
15. Individual Sale for each Download
    Each purchase of a Download by you shall be treated by Disaudio as a separate transaction thus constituting a separate sale.
16. Refunds
    Due to the nature of this industry, all sales are final and non-refundable. However, in the unlikely event that a Download is defective due to any fault of Disaudio, your consumer rights are not affected.
17. Typographical Errors
    It is possible that certain Tracks may be accidentally mis-priced. In such an event, Disaudio reserves the right not to accept your orders with prices based upon typographical errors.
18. Taxes
    Should any Governmental taxes be imposed upon your purchases, this is your responsibility to pay.
19. Disaudio’s Acceptance Policy
    You will receive an electronic form of confirmation. This does not constitute Disaudio’s offer to sell or convey Disaudio’s acceptance of your order. Disaudio reserves the right at its sole discretion to decline your request for the Track(s) or Material(s) in question or supply less than the quantity you have ordered. You order is deemed to have been accepted upon delivery of the Tracks or Materials you have ordered (upon the Digital Download as indicated by Disaudio’s servers).
20. Payment Method and Terms
    Payment is accepted by the credit and debit card listed on this Site. You shall be responsible to pay all fees and charges associated with your purchase as applicable from time to time. You are solely responsible for any unauthorised amount billed to your credit card by a third party. To determine your rights and liabilities as a card holder, please refer to your card issuer agreement which is applicable in such a situation, not this Agreement with Disaudio. Should you terminate this Agreement with Disaudio, any obligation by you to pay for Tracks or Materials previously accepted by Disaudio will survive the termination.
21. Electronic Acceptance of Contracts
    Your use of Disaudio’s Service will allow you to enter into agreements and make purchases electronically. You agree that any submissions you make via electronic purchases constitute your intent and agreement to be bound by the terms of and to pay for such purchases. This will apply to all records relating to all transactions you enter into on this site, including notices of cancellation, policies and contracts.
22. Copyrights/Trademarks
    All copyrights, trademarks, service marks, trade names, slogans and logos that appear on or in connection with the Service or, in so far as copyright is concerned, includes compilation of content, postings, links to other internet resources and descriptions are owned or the property of Disaudio and/or its affiliates or its licensors and/or its licensees. The use of the software or any part of the Service, except for the use of the services permitted in this Agreement is prohibited and subject to civil and criminal penalties including possible monetary claims for copyright infringement. You may not copy, display or use any of these marks without prior written permission of the mark owner.
23. Law and Legal Notices
    This Agreement and any other terms and documents referred to herein represent your entire agreement with Disaudio with respect to your use of the Service. If any part of this Agreement is held invalid or enforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intention of the parties and the remaining portion shall remain in full force and effect. This Agreement shall be governed by the laws of England and Wales and your use of this Service, the Tracks and the Materials is subject to that law and to the jurisdiction of the English Courts.
